1. Agreement to these Terms
These Terms are a legal agreement between you and Lobbystack Inc. ("Lobbystack," "LobbyStack," "we," "our," or "us"). By accessing our website, creating an account, using the hosted LobbyStack service, purchasing a plan, enabling an add-on, or otherwise using the service, you agree to these Terms.
If you use LobbyStack on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity. In that case, "you" and "Customer" refer to that entity and its authorized users.
Hosted LobbyStack accounts are intended for business and commercial use. They are not intended for personal, household, or consumer use.
2. The LobbyStack service
LobbyStack is a business AI receptionist platform for calls, SMS, appointment booking, routing, summaries, contact capture, knowledge base responses, follow-up workflows, and related communications. The service may include hosted software, dashboards, phone numbers, voice and messaging features, integrations, automation tools, analytics, documentation, support, and related services.
We may improve, modify, suspend, or discontinue parts of the service from time to time. Some features may be in beta, subject to provider approvals, limited by usage caps, or unavailable in some regions. Telecommunications features, including voice, SMS, phone numbers, A2P/10DLC registration, caller ID, carrier routing, and message deliverability, depend on third-party networks and providers.
3. Open-source and self-hosted use
LobbyStack includes open-source software. Use, copying, modification, distribution, and self-hosting of the source code are governed by the applicable repository license, currently AGPL-3.0-only, and not by these hosted-service Terms except where these Terms expressly say otherwise.
These Terms do govern LobbyStack Cloud, managed infrastructure, hosted accounts, paid plans, billing, support, trademarks, hosted documentation, websites, and any services we provide to you outside the open-source license. The LobbyStack name, logos, branding, and goodwill are not licensed for unrestricted use by the open-source license.
If you self-host LobbyStack, you are responsible for your own infrastructure, security, provider accounts, telecommunications registrations, compliance, backups, billing setup, and end-user notices.
4. Accounts, users, and customer responsibilities
You are responsible for keeping account credentials secure, managing your authorized users, maintaining accurate account and billing information, and promptly notifying us of unauthorized access. You are responsible for all activity under your account.
You are responsible for configuring LobbyStack for your business, including business facts, services, prices, hours, locations, scripts, escalation rules, calendar connections, knowledge base content, transfer numbers, messaging instructions, and any human fallback procedures.
You must not use LobbyStack to mislead callers or message recipients, impersonate another person or business, submit false registration information, violate third-party rights, or process information that you are not legally permitted to process.
5. Acceptable use
You must not use LobbyStack to:
- Send spam, phishing, fraudulent, deceptive, or unlawful messages.
- Send content involving illegal goods or services.
- Harass, threaten, abuse, or discriminate against anyone.
- Transmit malware or attempt to compromise the service.
- Bypass security, usage limits, billing, registration, or provider rules.
- Use the service for emergency dispatch or life-safety response.
- Make regulated professional decisions without qualified human review.
- Use the service in a way that could harm telecommunications networks, carriers, providers, LobbyStack, or other users.
We may suspend or limit the service if we believe your use violates these Terms, provider requirements, law, or creates risk for LobbyStack, providers, carriers, users, or third parties.
6. Voice, SMS, and telecommunications compliance
LobbyStack can support voice calls, SMS notifications, and AI SMS conversations. These features are subject to carrier rules, telecommunications laws, anti-spam laws, provider terms, campaign registration requirements, message filtering, number availability, and usage restrictions.
LobbyStack SMS program
Program name: LobbyStack. LobbyStack messages are non-marketing operational and conversational messages related to business communications, customer inquiries, appointments, missed-call follow-up, service updates, support requests, routing, confirmations, reminders, and related workflows. Message frequency varies based on your interactions with a business using LobbyStack. Message and data rates may apply. Messages may include links for booking, support, intake, business information, appointment management, or related service workflows.
For help with LobbyStack SMS, reply HELP where supported or contact support@lobbystack.com. To stop receiving SMS messages from a LobbyStack-powered sender, reply STOP. After you opt out, you may receive a confirmation message, and no further SMS messages will be sent unless you opt in again where permitted. Carriers are not liable for delayed or undelivered messages.
Your compliance responsibilities
You are responsible for obtaining and documenting all required consents before sending calls or messages through LobbyStack, including consents required by CASL, TCPA, CTIA guidelines, A2P/10DLC rules, carrier rules, anti-spam laws, privacy laws, and any laws that apply to your business, your location, or your recipients. You must honor opt-out requests, keep consent records, provide truthful business and campaign information, and avoid prohibited or restricted message content.
You must not use LobbyStack to send marketing, promotional, political, lending, age-gated, regulated, or sensitive messages unless the feature is enabled for that use case, all provider approvals are complete, and you have all required consents and legal authority.
7. AI limitations and human review
LobbyStack uses artificial intelligence and automation. AI outputs may be incomplete, inaccurate, delayed, unsafe for a particular use, or inconsistent with your expectations. You are responsible for reviewing, testing, and configuring the service before using it in production and for monitoring conversations that matter to your business.
LobbyStack is not a substitute for emergency services, professional medical, legal, financial, or safety advice, or human judgment in sensitive situations. You must configure appropriate escalation and human fallback rules for urgent, sensitive, regulated, high-value, or complex conversations.
8. Plans, billing, taxes, and refunds
Paid plans, add-ons, setup fees, usage fees, metered charges, and taxes are described at checkout, in the app, or in an applicable order. Subscription plans renew automatically unless cancelled. Usage may be billed based on voice minutes, outbound call attempts, SMS segments, AI SMS segments, storage, phone numbers, or other metered units.
You authorize us and our payment processor, currently Polar, to charge your payment method for recurring fees, usage fees, add-ons, setup fees, taxes, and other amounts due. If payment fails, we may suspend, limit, or terminate access. Unless required by law or expressly stated in a written agreement, fees are non-refundable. Cancellations take effect at the end of the current billing period, and usage fees already incurred remain payable.
Prices may change. We will provide notice where required by law or where the change materially affects an active paid plan.
9. Customer content, data, and privacy
You retain ownership of your business content, customer data, recordings, transcripts, messages, knowledge base materials, appointments, and other content you submit to the service ("Customer Content"). You grant LobbyStack the rights needed to host, process, transmit, display, analyze, secure, and use Customer Content to provide, maintain, protect, troubleshoot, and improve the service.
Our handling of personal information is described in our Privacy Policy. You are responsible for providing your own notices to your customers and end users where required and for ensuring that you have the rights and consents needed for LobbyStack to process Customer Content.
We may use de-identified, aggregated, or statistical information to operate, improve, secure, and analyze the service, provided it does not identify you, your users, or your end customers.
10. Third-party services and integrations
LobbyStack relies on third-party services, including telephony and SMS providers, AI model providers, hosting and database providers, Polar or other payment processors, email and support tools, analytics providers, calendar providers, and other integrations. Your use of those features may be subject to third-party terms, limits, outages, filtering, approvals, and fees.
We are not responsible for third-party services we do not control. We may change providers or integrations as needed to operate and improve LobbyStack.
11. Intellectual property
Except for Customer Content and open-source code governed by its applicable license, LobbyStack and its licensors own all rights, title, and interest in the hosted service, websites, designs, documentation, trademarks, logos, software, workflows, templates, and related materials. These Terms do not grant you ownership of LobbyStack or its branding.
Feedback you provide may be used without restriction or compensation to you, but we will not identify you publicly as the source of feedback without your permission.
12. Suspension and termination
You may stop using LobbyStack at any time and may cancel paid plans through the app or by contacting support. We may suspend or terminate access if you violate these Terms, fail to pay, create legal or security risk, misuse telecommunications features, or if a provider or carrier requires us to do so.
After termination, your right to use the hosted service ends. We may retain or delete data according to our Privacy Policy, backup practices, legal obligations, and any applicable written agreement.
13. Disclaimers, liability limits, and indemnity
To the maximum extent permitted by law, LobbyStack is provided "as is" and "as available." We do not guarantee uninterrupted service, error-free AI outputs, message delivery, call quality, carrier approval, number availability, business results, revenue, or that every caller or message recipient will be handled correctly.
To the maximum extent permitted by law, Lobbystack Inc. and its affiliates, officers, directors, employees, contractors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or replacement services.
To the maximum extent permitted by law, our aggregate liability for all claims relating to the service is limited to the greater of CAD $100 or the amounts you paid to LobbyStack for the service in the three months before the event giving rise to the claim.
You will defend, indemnify, and hold harmless Lobbystack Inc. from claims, damages, fines, costs, and expenses arising from your Customer Content, your use of the service, your end-user communications, your violation of law or provider requirements, your failure to obtain consent, or your breach of these Terms.
14. Governing law and disputes
These Terms are governed by the laws of Quebec and the applicable federal laws of Canada, without regard to conflict of law rules. Subject to any rights that cannot be waived, the courts located in Quebec, Canada will have exclusive jurisdiction over disputes relating to these Terms or the service.
15. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice, such as by posting a notice, updating the date above, emailing account contacts, or notifying users in the service. Continued use after changes become effective means you accept the updated Terms.
